These Terms & Conditions ("Terms") govern your access to and use of the courses, content, and services (collectively, the "Service") provided by Sandaii LLC("Sandaii", "we", "us", or "our"). By purchasing, accessing, or using the Service, you agree to be bound by these Terms.

1. Acceptance

By creating an account, completing a purchase, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Service.

2. The Service

Sandaii provides on-demand educational courses, written materials, and related digital content for founders and operators. Course access is delivered electronically and is intended for the purchasing individual or named seats only.

3. Account & Accurate Information

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current information and to keep it up to date.

4. Acceptable Use

You agree not to misuse the Service. You must not:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Send spam, phishing attempts, or unsolicited communications via the Service;
• Infringe the intellectual property or other rights of Sandaii or any third party;
• Interfere with the security or integrity of the Service, including probing, scanning, scraping, uploading malware, or attempting to bypass access controls;
• Resell, sublicense, or share access to course materials with anyone other than the licensed purchaser.

5. Intellectual Property

All course content, videos, written materials, branding, software, and documentation provided through the Service are owned by Sandaii LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials for your own personal or internal business use within the plan you purchased. No other rights are granted.

You may not reverse engineer, redistribute, resell, publicly perform, or create derivative works from the materials, or circumvent any technical limitations of the Service.

6. Payments, Billing & Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, applicable taxes, currency conversion, cancellations, and refund mechanics for purchases made through our checkout are governed by the Paddle Checkout Buyer Terms. Please review them together with our Refund Policy.

7. Service Availability

We work to keep the Service available and performing well, but we do not guarantee that the Service will be uninterrupted, error-free, or free from delays. To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Suspension & Termination

We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that you have: (a) materially breached these Terms; (b) failed to pay amounts when due; (c) created a security, fraud, or legal risk to Sandaii, other users, or third parties; or (d) repeatedly or seriously violated our acceptable-use rules. Upon termination, your right to access the Service ends.

9. Limitation of Liability

To the fullest extent permitted by law, Sandaii's aggregate liability arising out of or relating to the Service shall not exceed the fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. In no event shall Sandaii be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold Sandaii LLC harmless from any claims, damages, or expenses arising from your misuse of the Service, your content, or your violation of these Terms or applicable law.

11. Changes

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Sandaii LLC is established, without regard to its conflict-of-laws principles. Disputes shall be resolved in the competent courts of that jurisdiction.
